1. Welcome, Agenda and Conflict of Interest Disclosure Review.
The Chair called the meeting to order at 3:03 pm ET noting quorum. She asked if there were any questions or issues with the agenda; there were none. She asked about any conflict of interests, again there were none.
2. Registry Control Plane Proposal.
(Exhibits A, B)
The COO stated that the initial proposal was given to the Board at the August meeting and Workshop. There were quite a few questions from the Board, and staff were asked to provide more information, and this is the presentation as a supplement to the previous information that was provided. He noted that this presentation lays out the steps and speaks to the remaining quotes for the work to be done. This has been integrated into the 18-month work schedule and staff are looking to the Board to proceed forward with what is outlined.
Ron da Silva joined the call at 3:08 pm ET.
After the presentation by staff, the board undertook a comprehensive discussion covering risk, process, workflows, and tech debt. Staff responded to questions and concerns.
There was a discussion on the motion concerning whether more is needed to cover financial obligations and the outline of the project considering that we do not want to delay the project further. There was a question about moving forward to not delay the project without approving full funding at this time. The CEO answered that the timelines are based on starting in October which would create expenses that were out of budget if no motion was made.
The CEO noted that there is an 18-month contract in play and therefore funding would need to be approved to cover that full 18 months and it needs to be synced up with the budget year and not planned on a month-to-month basis. Ms. Morris stated that she feels that the Board does want this project to go forward, all want it to start and she does not feel that the data being brought forward in a month will change that, it will just help knowing the amounts being used, especially from investments. The Chair asked if anything else was needed today to move forward.
It was moved by Lee Howard, and seconded by Hank Kilmer; that:
“The ARIN Board of Trustees approves the Registry Control Plane project and directs the CEO to contract for its fulfillment with a limit of $5M, noting that it will require a drawdown from ARIN’s long-term reserves.” (2026.09.18.01)
Mr. Tacit had a question about the trade-off of not considering bids from vendors who were not able to provide onsite staff vs the smaller pool of proponents who can do so, and the CEO noted that due to the undue risk associated with registry errors and the need to ensure the accuracy of the registry, the vendor needed to be able to provide on-site staff for a smooth integration with existing development teams.
The motion carried, via roll call vote (10-0).
The CEO noted that more information would be brought to the October Board meeting for the long-term project when discussing the budget for next year.
3. Any Other Business
None
4. Adjournment
It was moved by Peter Harrison, and seconded by Hank Kilmer. The meeting adjourned at 4:02 pm ET.
