ACSP Suggestion 2016.14: Non-Incumbent Board of Trustees Candidate Requirement

Suggestion

Author: David Huberman
Submitted On: 15 November 2016

Description:

In light of the BOT’s activation of the appointment process (appointing Merike Kaeo to the ARIN Board for a one-year term);

and given that the appointed Board member is restricted by the bylaws to a one-year term;

and given that the bylaws do not restrict the appointed Board member from running for an elected seat on the Board while seated on the Board;

and given the Charter of the Nomination Committee, paragraph 3.0, section C, allows only the number of open (electable) positions on the Board plus 1 but no more than 2 …

I request the Charter be amended prior to the seating of the 2017 NomCom to allow more than a single non-incumbent candidate to run for election to the Board in the case where two elected Board members are nominated for the Board election and one appointed Board member is nominated for the Board election. This already potentially affects the 2017 election (two elected members have expiring terms [Denton and Woodcock] and one appointed member will have an expiring term [Kaeo]. It also may affect future elections in years where the Board has a seated appointed Member.

Value to Community: Fairer elections, allowing the community to decide to vote for more change, or better candidates, or more diverse candidates.

The ARIN Board of Trustees considered your suggestion during their meeting on 10 January 2017. Following significant deliberation the Board agreed to modify the NomCom charter to address your suggestion in the following manner. Specifically, the language “The number of candidates presented by the NomCom shall exceed the number of open positions by at least one (1) candidate, and shall include no more than twice the number of candidates as there are open positions.” was modified to the following: “The number of candidates presented by the NomCom for the Board shall

  • include a minimum of one (1) non-incumbent candidates
  • include a maximum of five (5) candidates”

The Board believes this language strikes the best balance between your suggestion and other matters discussed.

Thank you for participating in the ARIN Consultation and Suggestion Process. This suggestion will be considered closed.
