The Chair called the meeting to order at 1:15 p.m. EDT. The presence of a quorum was noted.

1. Agenda Bashing

The Chair asked if there were any comments or additions to the Agenda. Ray Plzak read the agenda. There were no comments or additions.

2. Changes to Article III, Membership, Section 3 of the ARIN Bylaws

Scott Bradner moved that:

“The ARIN Board of Trustees amends the language of Article III, Membership, Section 3 to read:

Article III, Membership:

Section 3. General Members. The General Membership shall consist of entities that pay subscription fees or such other fee or fees as the Trustees may establish from time to time. Any entity from one of the following categories may be a General Member: all persons, Internet service providers, associations, corporations, firms, educational and research institutions, and governmental organizations wishing to participate in open system protocol network activities. A general member in good standing is defined as an entity that is current on all membership and/or resource fee payments. The Board of Trustees shall determine the timeframe of what constitutes “current”.

This was seconded by Ray Plzak. Scott Bradner further noted a definition for ‘current’ will be discussed in July at the next Board meeting. The motion carried Aye: 5, Nay: 0, Abstain: 1.

3. Addition of Section 5 to Article III, Membership, of the ARIN Bylaws

Scott Bradner moved that:

“ The ARIN Board of Trustees amends the ARIN Bylaws by the addition of Section 5 to Article III, Membership to read:

Article III, Membership:

Section 5. Membership Rights. All members in good standing shall have the right to submit nominations to ARIN Board of Trustees and Advisory Council positions, vote in ARIN elections, attend ARIN Public Policy and Members Meetings free of charge, and participate in members-only mailing lists and discussions. Members in good standing shall also be entitled to any future rights the Board of Trustees may, from time to time, grant.

This was seconded by Ray Plzak. The Chair asked why this section was necessary. It was explained that there had previously been no definition of member’s rights in ARIN’s bylaws. The motion carried Aye: 6, Nay: 0, Abstain: 0.

4. Addition of Section 7 to Article IX, Miscellaneous, of the ARIN Bylaws

Scott Bradner moved that:

“ The ARIN Board of Trustees amends the ARIN Bylaws by the addition of Section 7 to Article IX, Miscellaneous to read:

Article IX, Miscellaneous

Section 7.Nomination and Appointment Conflicts. The Board of Trustees, from time to time, shall determine conflicts of interest related to candidacy for elected ARIN bodies and ARIN representation to outside organizations, either elected or appointed. Such determinations shall be published by the Board of Trustees.

This was seconded by Lee Howard. The motion carried Aye: 6, Nay: 0, Abstain: 0.

5. Publish an ARIN Election Conflict of Interest List for use on an on-going basis as it relates to candidacies to the ARIN Advisory Council, Board of Trustees, ASO Address Council and other outside organizations

The Board decided that they needed more time to review the list and agreed to review it electronically. Ray Plzak stated the Board needed to establish a deadline to complete this electronic action. The Chair proposed reviewing the list electronically, and responding electronically within one week with changes, deletions or additions. All agreed this could be done.

6. Any Other Business

There was no other business.

7. Adjournment

The Chair entertained a motion to adjourn at 1:28 p.m. EDT. Scott Bradner moved to adjourn and this was seconded by Bill Manning. The motion passed Aye: 6, Nay: 0, Abstain: 0.
