1. Welcome & Agenda Review

The Chair called the meeting to order at 1:03 p.m. EST. The presence of a quorum was noted. He acknowledged that Bill Sandiford would be delayed, and that Regenie Fraser could not be connected due to connectivity issues. The Chair reviewed the Agenda with the Board and called for any comments. There were no comments.

  • Approval of the Minutes of October 30, 2019. (Exhibit A)
  • Acceptance of Grant Selection Committee Report (Exhibit B)
  • ARIN Board Action without Meeting – Confirmation of 2019 ARIN Election Results. (Exhibit C) On 10 November 2019, the ARIN Board of Trustees confirmed the results of the ARIN 2019 election process. Each Trustee consented in writing to this action.
  • Approval of 2020 Appointment to the ARIN Advisory Council. Advisory Council member David Farmer has resigned effective 31 December 2019, with one year remaining on his term. Anita Nikolich received the 6th highest number of votes in the recent Advisory Council election and has confirmed her willingness to serve. This action has been confirmed with the Chair of the Advisory Council.

“The ARIN Board of Trustees confirms the appointment of Anita Nikolich to the ARIN Advisory Council for a term of one year, effective through December 31, 2020.”

It was moved by John Curran, and seconded by Nancy Carter, that:

“The ARIN Board of Trustees approves the Consent Agenda, as presented.”

The Chair called for any comments. The Chair noted that by appointing Anita Nikolich to the Advisory Council, the number of women seated on the Council would exceed their counterparts, and he believed this to be a first for an elected I* body. The Chair extended his thanks to everyone who had helped build this capacity in the community.

The motion carried with no objections.

The Chair noted that Bill Sandiford joined the call.

3. Approval of the 2020-2021 ARIN Budget

The Treasurer opened the teleconference stating that the ARIN Finance Committee (FinCom) has reviewed the budget extensively, and worked through various scenarios with staff. She stated that the Finance Committee is satisfied with the budget outcome. The President provided a further overview to the Board of the standing budget guidance from the Board, and the specific proposed 2020-2021 budget. The President further stated that the FinCom discussed several potential additions that resulted from topics raised in the August and October Board meetings. He provided an overview of these additional budget items, and the resulting 5-year outlook.

The Treasurer asked if there were any further comments on the budget. There were no further questions or comments.

It was moved by Nancy Carter, and seconded by Dan Alexander, that:

“The ARIN Board of Trustees approves the ARIN 2020-2021 Budget, as presented, including the overlays and offsets, as recommended by the ARIN Finance Committee.”

The Chair called for discussion. The President thanked the FinCom for all of their work on the budget, stating that the Treasurer and the Committee had put forth a lot of effort in reviewing and successfully shaping the budget proposal.

The Chair pointed out that there was considerable discussion within the FinCom regarding rising expenses compared with last year, and particularly that relying on revenue from the investment side to balance costs each year is a concern. He stated that the Board will be looking for regular updates throughout the coming year. The President acknowledged the comment, and agreed with the Chair to provide reporting regarding investment revenue achievement.

The Treasurer noted that the Fincom’s minutes are available on the Board’s Wiki for those Trustees who would like to view them.

The motion carried with all in favor, via roll call vote.

The Chair asked to have a task to review the Board’s standing budget guidance added to its calendar, and to do so for the August Board meeting, or sooner, as the President sees fit. The President agreed to do so.

4. ARIN 401K Discretionary Contribution Update

The President provided an update to the Board on this benefit that is provided to ARIN employees. He explained that, in the past, he has provided a memo to the Board for approval of this voluntary additional contribution, based on ARIN substantially attaining all of its goals for the year. He explained that staff strongly values this contribution, which is generally is 4 to 5%, based on salary. The President noted that this additional contribution to ARIN’s retirement program has a positive impact on retaining personnel, and is attractive for recruiting new staff.

The President stated that last year, the Board requested that the President take over the administration of this annual process, which he has done for the past year. However, the President considers this task to be part of ARIN’s overall compensation program. Therefore, the President stated this would be the last update on the matter as it will continue to be provided to staff going forward as part of ARIN’s overall compensation package. He noted that the discretionary contribution recommended is a little lower this year, but it is consistent and based upon the standard criterion. The Chair called for any discussion. There were no comments.

The Chair called for any other business. There were no comments.

6. Adjournment

The Chair entertained a motion to adjourn at 1:24 p.m. EST. The meeting adjourned with no objections.
